1. Introduction

These Terms and Conditions (“Terms”) govern the use of the website and consultancy services provided by Kathryn Ryder, trading as IEI Consultancy (“we”, “our”, “us”). By accessing our website or engaging our services, you agree to be bound by these Terms.

2. Services

IEI Consultancy provides consultancy, training, and advisory services in the field of inclusive education. Details of specific services are available on our website or will be confirmed in writing upon engagement.

3. Contract Formation

A contract between you (the “Client”) and IEI Consultancy will be formed when services are confirmed in writing. These Terms apply to all services unless otherwise agreed in writing.

4. Payment Terms

- Fees for services will be agreed in advance and confirmed in writing.
- Invoices are payable by bank transfer within 14 days of the invoice date, unless otherwise agreed.
- We reserve the right to charge interest on overdue amounts at the statutory rate.

5. Cancellation and Refunds

Cancellations must be made in writing. Our Refund and Cancellation Policy, available on our website, sets out the specific terms regarding notice periods, refunds, and cancellations.

6. Intellectual Property

All intellectual property rights in training materials, frameworks (including the SUSTAIN Inclusion© Framework), resources, and documentation provided by IEI Consultancy remain the property of Kathryn Ryder, trading as IEI Consultancy, unless otherwise agreed in writing. Clients are granted a non-exclusive licence to use materials for internal educational purposes only.

7. Liability

- We provide consultancy services with reasonable skill and care.
- Our advice and resources are for general guidance only and should not be considered legal or medical advice.
- To the fullest extent permitted by law, we exclude liability for any indirect, incidental, or consequential loss arising from the use of our services.
- Nothing in these Terms excludes liability for death or personal injury caused by negligence.

8. Confidentiality

Both parties agree to maintain confidentiality of any sensitive or proprietary information shared during the engagement, except where disclosure is required by law.

9. Data Protection

Personal data will be handled in accordance with our Privacy Policy, which complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
